These Terms of Use ("Terms") govern your access to and use of the website deepai.vc and any related content, newsletters, communities, or services (collectively, the "Services") provided by DeepAI VC ("we", "us", "our").

By accessing or using the Services, or by submitting information through our forms, you agree to be bound by these Terms. If you do not agree, do not use the Services.


1. Who We Are

The Services are operated by DeepAI VC, located at 70 Temperance St, Toronto, ON, Canada.

2. Description of the Services

The Services include, among other things:

  • A curated AI and venture capital newsletter and related email communications ("Signals").
  • Access to certain research, insights, and tools.
  • A private community for selected investors, founders, and operators (the "Community").
  • A private member directory of Community participants (the "Directory").

We may update or modify the Services from time to time.


3. User-Provided Information

When you use the Services or join the Community, you may provide us with information, including:

  • Work email address
  • Full name
  • Company
  • Role or title
  • LinkedIn profile URL
  • Information about how you operate (for example, "VC" or "Founder")
  • Any other information you choose to submit in forms or communications

Collectively, this is "User Information".

You confirm that the User Information you provide is accurate to the best of your knowledge and that you have the right to provide it to us.


4. How We Use Your Information

By submitting User Information through the Services, you understand and agree that we may use it to:

  • Send you our Signals, newsletters, and related communications.
  • Personalize the content and outreach you receive from us.
  • Build, maintain, and analyze an internal database of investors, founders, and operators for our own business purposes.
  • Operate and improve the Services and the Community.
  • Create and maintain a private member Directory for the Community, as described in Section 5.
  • Comply with legal obligations and enforce these Terms.

Our handling of personal information is described in more detail in our Privacy Policy, which is incorporated into these Terms by reference.


5. Community Directory and Sharing With Other Members

A core part of the Services is enabling vetted investors, founders, and operators to discover and connect with each other.

If you are accepted into the Community, we may list limited parts of your User Information in a private member Directory that is only accessible to other approved Community members. This may include:

  • Your name
  • Your company
  • Your role or title
  • Your LinkedIn profile URL
  • High-level tags describing how you operate (for example, "VC" or "Founder")

By using the Services and joining the Community, you:

  • Acknowledge that the Community and Directory are designed to allow members to discover and learn about each other.
  • Consent to the display of the limited profile information described above to other approved Community members.

You can request to be removed from the Directory at any time by contacting us at li@deepai.vc. We will remove your profile on a go-forward basis, although we may retain certain records as required by law or for legitimate business purposes.

We do not make the Directory publicly available on the open internet, and we do not sell the Directory to third parties.


6. License You Grant to Us

You retain ownership of your User Information. However, by submitting User Information through the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

  • Collect, store, use, process, and analyze your User Information for the purposes described in these Terms and in our Privacy Policy.
  • Display selected profile information (such as name, company, role, LinkedIn URL, and high-level tags) to other approved Community members via the Directory.

This license continues for as long as we retain your User Information in accordance with our Privacy Policy and applicable law. If you exercise your rights to deletion or removal, we will act in line with our Privacy Policy and legal obligations.


7. Email and Marketing Communications

By providing your email address and agreeing to these Terms and our Privacy Policy, you consent to receiving:

  • Signals and newsletters
  • Product updates, announcements, and invitations
  • Occasional personalized outreach related to your role and interests

You can opt out of marketing emails at any time by clicking the "unsubscribe" link in any email or by contacting us at li@deepai.vc. Opting out of marketing emails does not necessarily stop all service or transactional emails where they are needed to operate the Services.


8. No Sale of Personal Information

We do not sell your personal information as that term is generally understood in most privacy laws. We may share your information:

  • With service providers that help us deliver the Services (such as email delivery, hosting, or analytics providers).
  • With other approved Community members via the Directory, as described in Section 5.
  • Where required by law, legal process, or to protect our rights.

Any such sharing is subject to our Privacy Policy.


9. Your Responsibilities

You agree that you will:

  • Only submit information that you have the right to share.
  • Not misuse the Directory or any member information for spam, harassment, scraping, resale, or any prohibited purpose.
  • Respect other members’ privacy and use their information only for legitimate networking and professional purposes.

We reserve the right to remove you from the Community or restrict your access to the Services if we believe you are misusing member information.


10. Disclaimers

The Services are provided on an "as is" and "as available" basis. We do not promise that the Services will be uninterrupted, secure, or error-free, or that the content provided is complete or up to date. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied.

Nothing in the Services constitutes legal, financial, or investment advice.


11. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Services;
  • Any unauthorized access to or use of our servers;
  • Any content or conduct of any third party on or through the Services.

Where our liability cannot be excluded, it is limited to the amount you have paid us, if any, for access to the Services in the twelve months preceding the event giving rise to the claim.


12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. In some cases, we may also provide additional notice (such as by email or via the Services).

If you continue to use the Services after the updated Terms become effective, you agree to be bound by the new Terms.


13. Governing Law

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules.
